What exactly is a GmbH / Limited Liability Company?
The GmbH is one of the corporations and is a company form that is particularly suitable for founders who limit liability to company assets and thus want to protect their private assets.
Who is a GmbH suitable for?
The GmbH is one of the oldest forms of company and has a very high social reputation. It is basically suitable for everyone who wants to protect their private assets. Since the GmbH belongs to the corporations, it can be founded by one or more shareholders. It also offers the advantage that rights and obligations, but also claims among the managing directors and also among the shareholders, are or can be clearly regulated.
Establishing a GmbH is also recommended if there is a high economic risk - for example, in trading companies, but also in craft businesses, the GmbH has established itself as a very suitable form of company.
What do you have to consider when founding a GmbH?
A GmbH is founded by at least one partner. A possible share capital is (at least) 25.000 euros, half of which must be available when the company is founded. However, the amount of capital should always be based on specific needs, because inadequate capitalization always harbors a high risk of bankruptcy.
In the case of a GmbH, the share capital must be raised in full either in cash or through contributions in kind prior to registration in the commercial register.
How does the establishment of a GmbH work?
The is founded by at least one partner. For the "one-person GmbH" the same provisions apply as for a "normal" GmbH. The articles of association must be notarized. The GmbH Act provides two sample protocols as an annex for uncomplicated standard start-ups.

The minimum share capital that you have to bring in when you set up the company is 25.000 euros, but only half of this has to be paid in immediately. A foundation in kind, i.e. bringing in a machine, a car, etc. is also possible.

First of all, it primarily depends on whether the founder (the partner (s) and / or the future managing director (s)) live in another EU country or a third country. It is much easier for EU citizens to set up a company in Germany, but you have to observe some additional rules and regulations.
Founders from outside Europe usually have a little more difficulty setting up a company in Germany, as there are additional bureaucratic hurdles to overcome.
